The Feather & Weave Website is comprised of the Website and Services operated and provided at http://www.featherandweave.co.uk. Access to the registration on the Feather & Weave Website is offered to You upon your acceptance without modification of the terms, conditions, and notices contained herein. Your use of the Feather & Weave Website constitutes your agreement to all such terms, conditions, and notices contained in or appended to this document.
In this Agreement the following terms shall have the following meanings:-
1.1 The term 'commencement date' means the date your registration is confirmed by featherandweave.co.uk.
1.2 "Acceptance Date" means the date on which you agree to be bound by the terms and conditions of this Agreement and not the date on which Your membership is confirmed by featherandweave.co.uk and the Services are provided to You by featherandweave.co.uk.
1.3 "Services" means the Feather & Weave Website and any other service or facility provided by the Feather & Weave Website to You.
1.4 "Server" means the computer server equipment used by the Feather & Weave Website in connection with the provision of the Services.
1.5 "Enhancement" means any upgrade, improvement, modification or re-design of the Information displayed on the Website.
1.6 "Website" means the featherandweave.co.uk Website [and any internet technology which encompasses the featherandweave.co.uk Website service.]
1.7 "Material" means all data in whatever form including text, photographic, graphic, sound recording, bitmaps, films and video footage provided to featherandweave.co.uk by You. For the purposes of this definition any reference to "You" shall include your agent or other person authorised by You (notice of such authorisation having been given to the featherandweave.co.uk website) to provide such Material to featherandweave.co.uk.
1.8 "Information" means the Material provided to, held and used on the featherandweave.co.uk database.
1.9 "Intellectual Property Rights" means any and all patents, copyrights, trademarks, registered and unregistered designs, and all other intellectual property rights protection whatsoever.
2.1 To register your membership with the Feather & Weave Website, You must complete the registration process by providing the Feather & Weave Website with current, complete and accurate information as prompted by the applicable registration form.
2.2 You are entirely responsible for maintaining the confidentiality of your password, user name and account details.
2.3 You are entirely responsible for any and all activities that occur under your account.
2.4 You agree to notify featherandweave.co.uk immediately of any unauthorized use of your account or any other breach of security.
2.5 featherandweave.co.uk will not be liable for any loss that you may incur as a result of someone else using your password or account, either with or without your knowledge.
3.1 You recognise and accept that you bear sole responsibility for the content of all Material provided by you to featherandweave.co.uk. For the avoidance of doubt, this clause shall apply to all Material, whether provided by You, or on Your behalf by another person;
3.2 featherandweave.co.uk shall retain the right at all times to do all or
any of the following:-
3.2.1 to add new features to the Website without Your prior consent
3.2.2 to refuse to post any Material (even where You request its posting)
3.2.3 to suspend availability to You of the Service or the Material on the Website
3.2.4 to edit, shorten, extend or otherwise to amend or modify any Website content whatsoever.
4.1 We have a policy of continuous product development and reserve the right to amend the specification of products without prior notice in relation to future sales.
4.2 Goods supplied may differ as a consequence from those on display or advertised. Unless agreed with you, the goods supplied will be of equivalent value, functionality and appearance. Any significant variations will be highlighted on the display model.
4.3 Some furniture is made from quality natural wood. Some woods will mellow with age and exposure to sunlight.
4.4 Leather goods are made from quality natural leather and accordingly they may not be uniform in colour or texture. Only the finest hides are selected but they will show natural marks and scars on the hide. Some leathers will mellow with age and exposure to sunlight and heat.
4.5 We will endeavour to match the colour and texture of the fabric of your furniture to the samples chosen as accurately as possible, but variations in both the colour and texture may occur.
4.6 Some self-assembly may be required on certain products.
5.1 It is your responsibility to ensure that the furniture ordered will pass freely through into your room of choice.
5.2 The measurements of all furniture and furnishings made by us will be as accurate as possible, but are nevertheless approximate.
6.1 All prices include VAT, where appropriate, at the prevailing rate and are subject to any promotional offer or discount.
7.1 We will contact you to arrange a delivery date when the furniture is ready to leave into our warehouse. We must be able to deliver the furniture into your home within 14 days thereafter. If we are unable to do so due to your default, we will make a charge for storing the furniture beyond this point, which is payable in advance. We will advise you of this charge at the relevant time.
7.2 We will deliver your goods on weekdays to any UK or Ireland address.
7.3 Any changes made by you to the content of your order will impact on your delivery date.
7.4 If you are unable, for whatever reason, to take delivery of your goods on the confirmed delivery date, we reserve the right to charge you further for any subsequent deliveries.
7.5 You are responsible for providing a safe and reasonable means of access from the public highway to the place of delivery. If our delivery staff considers that access is unsafe, then we will not deliver the goods until safe access is provided. You are obliged for provide any required parking permits in advance.
7.6 If we are unable to deliver the goods due to there being no safe or reasonable means of access to the place of delivery, we shall be entitled to cancel your order and refund your payments less delivery charges and an administration fee of £50.
7.7 If we accidentally damage goods in the course of delivery, then our liability for that damage is limited to the repair, refund or replacement of the goods or the value thereof.
7.8 Time of delivery is not of the essence in these Terms and Conditions. We will not be liable for any direct or indirect loss of profits or other financial loss or damage suffered by you through any reasonable delay or delay due to unforeseen circumstances outside of the reasonable control of Feather & Weave or delay due to any reasonable rescheduling of delivery.
8.1 Most furniture, which is made or altered, is done so specifically for you. Once furniture is ordered from our collections, your order may not be cancelled by you. For all other furniture orders you have the right to cancel the order up to 14 days before the delivery date however, if you do so, we shall retain the deposit, together with an administration charge of £50. Once delivered no furniture may be returned nor will we provide any refund unless it is defective or has been accidentally damaged by us in the course of delivery. This does not affect your statutory rights.
9.1 featherandweave.co.uk may effect any Enhancement to the Website at any time without Your consent.
10.1 featherandweave.co.uk shall use its reasonable endeavours to provide the Services but featherandweave.co.uk shall not, in any event, be liable for interruptions of the Services available to You at any time or during downtime of the Server;
10.2 featherandweave.co.uk shall have the right to suspend the Services at any time and for any reason, generally without notice, but if such suspension lasts or is to last for more than 30 days You will be notified of the reason;
10.3 The Services provided to You hereunder and Your account with featherandweave.co.uk cannot be transferred or used by anyone other than You. If such account is found to have been transferred to another party, or shows other activity in breach of this sub clause, featherandweave.co.uk shall have the right to cancel the account and terminate the Services;
Without in any way limiting featherandweave.co.uk's rights under clause 3
11.1. featherandweave.co.uk may suspend the Services and/or terminate this Agreement forthwith without notice to You.
11.2. If You go into insolvent liquidation or suffer the appointment of an administrator or administrative receiver or enter into a voluntary arrangement with your creditors or any arrangement governed by the Insolvency (Northern Ireland) Order 1989 (or equivalent legislation), featherandweave.co.uk shall be entitled to terminate this Agreement forthwith without notice to You.
11.3. On termination of this Agreement or suspension of the Services, featherandweave.co.uk shall be entitled immediately to suspend the Services and to remove all Information from the Website. featherandweave.co.uk shall be entitled to delete all such Information, at its discretion. featherandweave.co.uk shall further be entitled to post such notice in respect of the non-availability of Your Information as it thinks fit.
12.1. featherandweave.co.uk reserves the right to change the terms, conditions, and notices under which the Website is offered, including but not limited to the charges associated with the use of the Website or provision of the Services.
12.2. You are responsible for regularly reviewing these terms and conditions.
12.3. Your continued use of the Website constitutes your agreement to all such terms, conditions, and notices.
13.1 Featherandeave.co.uk is a registered data controller in accordance with the Data Protection Act 1998 ("the Act"). We process your personal data in accordance with the Act.
14.1 This Agreement shall be governed by and construed in accordance with the law of Northern Ireland and both parties hereby submit to the exclusive jurisdiction of the courts of Northern Ireland
15.1 Feather & Weave undertakes to seek to resolve any customer complaint within 3 weeks of written notification from the customer. In the very unusual case of the complaint being unresolved then the customer has the right to refer the dispute to the Financial Ombudsman Service.
